Choose the entity first

A private company, one person company, public company and Section 8 company do not use an identical evidence bundle. Confirm members, directors, share capital, state, objects, name, registered office, beneficial owners and foreign participation before collecting documents.

An LLP and sole proprietorship are not incorporated through SPICe+. Mixing entity checklists is a frequent cause of wasted work.

02 · Practical guidance

Indian KYC

For Indian subscribers and proposed directors, prepare PAN, an accepted identity document, recent residential address evidence, email and mobile details, and digital signatures for persons who must sign. Information must match exactly. DIN for proposed directors can be allotted through SPICe+ within the current limit.

A passport-size photograph is not a substitute for the prescribed identity and address information; upload requirements should be checked in the current form instructions.

03 · Practical guidance

Foreign or NRI participants

A valid passport is central. Identity, address and corporate-authority documents may need notarisation, apostille or consularisation depending on where they are executed, together with certified English translations. Check FEMA entry route, pricing, sector caps and beneficial-ownership disclosures.

Do not assume a tourist visa, Indian address or PAN alone resolves foreign-subscriber documentation.

Registered office

Use a recent utility bill, evidence of ownership or occupancy, and owner authorisation/NOC as applicable. Ensure the full address, owner’s name and premises description are consistent. Section 12 permits the registered office to be established within the statutory period, but the filing route and evidence must be planned.

A residential address may be acceptable for MCA purposes, but municipal, lease, society and industry restrictions still apply. “Virtual office” is not a legal exemption from having a real, verifiable registered office.

Constitutional and linked filings

SPICe+ integrates name reservation and incorporation with linked services. e-MoA, e-AoA, INC-9 and AGILE-PRO-S apply according to the case. Prepare subscriber details, capital table, object clauses, director consent, professional certification and declarations accurately.

PAN and TAN are integrated. GST, EPFO, ESIC, professional tax and bank-account elements depend on the linked form, location and applicability; incorporation does not mean every registration is operational for every business.

Entity variations

An OPC needs one member and a nominee with valid consent and eligibility. A Section 8 company needs licence-specific objects, INC-13 content and projections. A producer company, Nidhi, finance company or regulated activity has additional conditions.

Use current form instructions rather than a generic checklist when the name or objects suggest regulated finance, insurance, education, health, defence, telecom or foreign investment.

After incorporation

Verify the certificate, CIN, PAN/TAN and master data; issue share certificates; maintain statutory registers and minutes; appoint the first auditor within the applicable period; bring subscription money through traceable banking channels; and file INC-20A where section 10A applies.

The registered office must be maintained and verified. GST and local licences should be activated before taxable or regulated operations when required.

Rejection control

Typical defects are name conflicts, weak objects, unreadable scans, expired address proof, missing owner authority, inconsistent names, incorrect subscriber type, invalid digital signatures and incomplete foreign-document authentication. Build a person-by-person and address-by-address checklist.

Government processing time is not guaranteed. A clean application may still receive resubmission questions or require regulator approval.

Is Aadhaar alone enough for incorporation?

No. The filing needs the prescribed identity, address, subscriber, director and office information for the specific case.

Can I use my home address?

MCA registration may accept a properly documented residential address, subject to other laws and private restrictions.

How old can a utility bill be?

Current MCA form instructions should be checked; incorporation practice generally expects a recent bill, commonly not older than two months.

Is DIN a separate pre-filing step?

For proposed directors within the permitted number, DIN can generally be requested through SPICe+.

Is INC-20A always required?

It applies to companies covered by section 10A, principally companies incorporated with share capital, subject to the Act and exemptions.

Can incorporation be guaranteed in 7–15 days?

No. Timelines depend on name, documents, portal operation, workload, resubmission and regulatory approvals.
