An LLP must notify the Registrar of every registered-office change in the prescribed form. Under section 13 of the LLP Act and rule 17 of the LLP Rules, Form 15 is generally filed within 30 days of the change. Interstate moves require the additional creditor-consent and newspaper-notice process prescribed by rule 17.

What Form 15 does

Form 15 records a change in the place of an LLP’s registered office. The registered office is the statutory address for official communications and service of documents. A move is not fully reflected in the public register merely because the LLP has shifted physically, changed its website or informed its bank.

Section 13 of the Limited Liability Partnership Act, 2008 requires an LLP to have a registered office and permits a change by notice to the Registrar in the prescribed form and manner. Rule 17 of the LLP Rules supplies the procedure. The LLP agreement must also be checked because it may prescribe the partners’ approval process.

Step-by-step filing process

  1. Review the LLP agreement and identify the approval threshold and effective date.
  2. Obtain the required partner resolution or written consent.
  3. For an interstate move, obtain consent of secured creditors and publish the prescribed notice in the relevant English and vernacular newspapers at least 21 days before filing.
  4. Collect recent premises proof, owner NOC and lease/rent documentation where applicable.
  5. Complete the current web-based Form 15 on the MCA portal, attach the required evidence and affix the designated partner’s DSC.
  6. Pay the system-computed government fee and retain the SRN, challan and approved filing.
  7. If the LLP agreement changes, execute the supplementary deed with proper stamp treatment and file Form 3 within the applicable time.
