Practical answer

Form 4 notifies the Registrar about appointment, cessation, designation changes and prescribed changes in a partner’s particulars. The LLP normally files within 30 days of the event. Where the LLP agreement also changes, Form 3 must be evaluated and coordinated.

What Form 4 reports

  • Appointment of a partner or designated partner.
  • Resignation, death or other cessation.
  • Change from partner to designated partner or the reverse.
  • Prescribed changes in name, address or other particulars.
  • Consent to act and event details required by the current web form.

Who files and certifies

The LLP is responsible for the filing through an authorised designated partner using a valid DSC. The current form may require certification by a practising chartered accountant, company secretary or cost accountant. The incoming individual must have the prescribed identification and consent; a body corporate acts through its nominee where permitted.

Deadline and effective date

Section 25 and the LLP Rules generally require notice within 30 days. Use the legally effective event date supported by the resolution, consent, resignation, death certificate or agreement—not merely the later data-entry date. An incorrect effective date can affect contribution, annual return and liability records.

Step-by-step filing

  1. Check the LLP agreement and complete the internal appointment, resignation or designation process.
  2. Obtain identification, address evidence, consent to act and event-specific records.
  3. Confirm DPIN/DIN and DSC status where applicable.
  4. Prepare Form 4 on MCA V3 and enter the event and post-change partner details.
  5. Attach clear supporting documents and obtain the required signatures/certification.
  6. Coordinate Form 3 when the agreement, contribution or profit-sharing terms also change.
  7. Pay the fee, retain the SRN and confirm that MCA master data reflects the event.

Required documents

EventTypical evidence
AppointmentConsent to act, partner resolution/agreement evidence, identity and address records.
ResignationSigned resignation/notice and acknowledgment or resolution consistent with the agreement.
Death or incapacityDeath certificate or legally relevant proof and LLP records.
Name/address changeOfficial identity or current address evidence.
Designation/contribution changeResolution, consent and supplementary agreement where applicable.

Form 4 and Form 3

Form 4 reports the person-level event; Form 3 reports the agreement or amendment. A new partner, exit, contribution change or revised profit share frequently requires both. Filing only one can leave inconsistent public records. Follow the live MCA linked-form process and use identical effective dates and figures where the facts require.

Fees and late filing

Normal filing fees and additional fees are governed by the contribution-based and delay-slab schedules under the LLP Rules. The supplied fixed-rupee table is not a reliable general fee schedule. Small LLP status can affect additional fees. Obtain the live portal calculation before filing.

Consequences of non-compliance

Late or missing Form 4 can leave an outgoing partner shown as current, hide an incoming partner’s authority, create inconsistency with Form 11 and Form 3, and attract statutory penalties or additional fees. It may complicate banking, due diligence, litigation and future filings.

Common mistakes

  • Using a resignation letter with no clear effective date.
  • Missing consent to act for an incoming partner.
  • Mismatch between DPIN/DIN, PAN, name or address.
  • Failing to coordinate Form 3.
  • Incorrect post-event number of partners/designated partners.
  • Allowing the LLP to fall below statutory minimums.
  • Uploading unclear or incomplete attachments.

Frequently asked questions

The LLP files it through an authorised designated partner; the individual partner does not replace the LLP’s filing duty.

Generally 30 days from the effective event.

Does an address change of a partner require Form 4?

Prescribed changes in partner particulars are reported through the applicable Form 4 process.

Are Form 3 and Form 4 interchangeable?

No. Form 4 reports partner changes; Form 3 reports the LLP agreement and amendments.

No. Check the operative LLP Rules and live MCA fee calculation.
